Where there are additional entities involved in the ownership structure, we will require the same documentation as listed below (or their local equivalents) for those entities with holdings equal to 10% or above.
1. Certificate of Incorporation and subsequent Certificate of change of name (if any)
2. Certificate of Incumbency issued by registered agent or Company Search Report issued within 6 months
3. Trade/Business License / Business Registrations if applicable
4. Memorandum and Articles of Incorporation/Associate & By Laws (Note that Bank of Asia will not onboard corporates whose Memorandum and Articles of Association allow bearer shares as part of their share structure. Please make the necessary amendments through the relevant registered agents or parties before account application)
5. Register of Directors or Notice of Change of Director issued by registered agent or Company Secretary within 6 months if not already included in the Certificate of Incumbency
6. Company ownership chart showing the chain of ownership and immediate company name, for legal entities and individuals with 10% or more ownership, up to the individual ultimate beneficial owner(s) signed and dated by a director of the legal entity applying for a bank account within the last 6 months
7. Board resolutions/minutes or other supporting documents authorizing the account opening
8. Board resolutions/minutes, power of attorney (POA) or other supporting documents authorizing the list of authorized persons who will operate the bank account
9. Specimen Signatures in respect of authorized signatories
10. Register of Shareholders/Members, including the full name and address of each beneficial owner issued by registered agent or company secretary within 6 months
11. Certificate of Good Standing (for incorporated over 1 year) or Bank Reference Letter of the principal shareholders/beneficial owners (incorporated for less than 1 year) and issued within 6 months
12. Applicable Self Certification Form (For Entity and Controlling Person) and/or IRS W-8BEN-E form or additional required form(s)to establish your tax status under FATCA
13. Applicable Common Reporting Standard (CRS) Self Certification Form (for Entity and Controlling Person) or additional required form(s) to establish your tax status under CRS
14. For ultimate beneficiaries who are trusts: Trust deed or Declaration of Trust with details of the trustee, settlors, protectors and beneficiaries if applicable
15. Copy of Individuals' Passport with page of photo and specimen signature (Required for all directors, shareholders with holdings equal to 10% or more and authorized signatories. Where UBO is a trust, it is required for the trustee (if an individual), settlors, protectors and beneficiaries.)
16. Residential Address Proof of individuals issued within three months e.g. Utility bill, Bank statement, Credit card statement, etc. (Required for all directors, shareholders with holdings equal to 10% or more and authorized signatories. Where UBO is a trust, it is required for the trustee (if an individual), settlors, protectors and beneficiaries.)
17. Applicable Self Certification Form (For individual) and/or IRS W-8BEN form or additional required form(s)to establish your tax status under FATCA. 20. Copy of the latest financial statements or Annual Report if corporation is an operating company
21. If the company is a subsidiary, copy of the parent company’s Annual Report
22. Brochures and articles with pertinent information
23. A signed statement from the board of directors attesting to the nature of the corporation's business activity issued within 3 months
24. Proof of physical address of principal place of business issued within 3 months if corporation is an operating company
25. Identification Information of Corporate Trustee if applicable
